These Terms of Service aim to clarify the rights and obligations of users when using the services provided by ROI and constitute a legally binding agreement between the user and ROI. Whether a user accesses, browses, or uses any services, information, or content provided by ROI as a visitor, registered member, or partner, it constitutes full understanding and acceptance of all the provisions of these Terms.

These Terms apply to all business activities provided by ROI, including but not limited to marketing services, portfolio support, member services, industry information provision, resource connections, training activities, and other value-added services related to the livestock industry. Users acknowledge that the content provided by ROI is for informational and resource support only and does not constitute legal, financial, or investment advice; any business or investment decisions are the sole responsibility of the user.

ROI reserves the right to update, revise, or replace these Terms as necessary without prior notice. Any changes to the terms will take effect immediately upon publication, and continued use of the service constitutes acceptance of the revised content. Users are responsible for periodically reviewing the latest version of the terms to ensure they understand and comply with the current provisions.

By using ROI’s services, users acknowledge that their actions fully comply with applicable laws and undertake to use ROI’s resources and services reasonably and legally in accordance with these Terms.

To ensure the accuracy of these Terms, the following terms have specific meanings: “User” refers to any individual or organization accessing or using ROI’s services, including cattle farmers, ranchers, and supply chain participants. “Member” refers to a user recognized by ROI and entitled to specific service privileges. “Partner” refers to an organization collaborating with ROI in business or supply chain areas.

“Services” refers to all support provided by ROI, including marketing, portfolio references, industry information, resource links, and training activities. “Portfolio Support” refers to providing general industry structure and trend references and does not constitute an investment commitment. “Marketing Services” refers to activities assisting members in expanding their markets and increasing their exposure.

“Supply Chain Members” include packagers, processors, retailers, suppliers, and other entities related to the livestock industry. “Platform” refers to the online systems, interfaces, and tools used by ROI. “Content” refers to the text, images, data, and analysis materials published by ROI.

Regarding ROI’s affiliation with the National Beef Producers Association (NCBA), such statements are for illustrative purposes only and do not constitute a legally binding subordinate or agency relationship.

Page 3 | User Qualifications and Membership Requirements

Before using ROI’s services, users must ensure they possess legal operating qualifications and a verifiable identity. This applies to cattle farmers, ranchers, industry partners, and other entities involved in the livestock industry chain. Users must ensure their identity and business activities comply with local laws and industry regulations.

Users must provide true, accurate, and complete information during registration and service use, and update this information promptly when it changes. Any false statements, misleading information, impersonation, submission of invalid or forged documents, etc., will be considered a serious breach of these terms.

Users must not use ROI’s services to engage in illegal, fraudulent, disruptive industry order, harmful to the rights of others, or detrimental to ROI’s operations. ROI reserves the right to suspend or terminate a user’s access if the user does not meet eligibility requirements, submits false information, violates terms, or poses a risk.

Users acknowledge that their participation in the industry ecosystem built by ROI is based on good faith and they assume responsibility for complying with industry standards. ROI reserves the right to review user eligibility for safety and compliance reasons.

ROI provides a range of professional services to its industry chain members, aiming to support cattle farmers, ranchers, and partners in enhancing their market competitiveness and optimizing business development. Key services include: providing portfolio support based on industry trends, marketing services, industry information sharing, data analysis, training activities, and cross-regional resource connections.

“Portfolio support” includes general industry structure analysis, trend insights, and optional strategy directions, provided for members’ reference only and does not constitute any form of investment commitment or guarantee of returns. “Marketing services” cover brand exposure, market expansion, member collaboration, and related promotional activities, aiming to assist members in enhancing their industry influence.

ROI also connects resources to foster collaboration among packagers, processors, retailers, and suppliers across the supply chain, improving overall operational efficiency. Simultaneously, ROI promotes sustainable business practices and provides users with supportive information related to the environment, animal welfare, and industry responsibility.

ROI reserves the right to adjust its service scope at any time based on industry dynamics, operational policies, or changes in the external environment. Users understand and agree that ROI does not provide legal, financial, or investment advice; any business or investment activity is the sole responsibility of the user, who assumes all associated risks.

Page 5 | User and Member Responsibilities and Obligations

Users must comply with all applicable laws, regulations, and industry standards when accessing or using ROI services. Users are required to provide necessary information, supporting documents, and certifications as requested by ROI, and guarantee that the submitted content is true, accurate, legal, and traceable.

Users understand that they are solely responsible for all decisions and actions made in their business operations, market collaborations, resource transactions, and investment activities. Any information, analysis, or reference provided by ROI does not constitute instructions or constraints; users must make their own choices based on their own judgment.

Users must comply with ROI’s operational rules, process guidelines, and service usage restrictions, and must not interfere with platform operations, disrupt industry order, or infringe upon the legitimate rights and interests of other members in any way. If users generate project content, data, reports, or other materials during the cooperation period, they must ensure that the content is legal and from legitimate sources, and must not infringe upon the rights of third parties.

ROI reserves the right to take necessary measures, including restricting access, suspending services, or terminating cooperation, upon discovering that a user has violated laws, industry norms, or these terms, to maintain the industry ecosystem and system security.

ROI’s portfolio support is for industry information, structural reference, and trend observation only, and does not constitute professional investment advisory services, nor does it provide any form of return guarantee, value-added commitment, or risk hedging. Users understand that any investment activity involves uncertainty, and ROI makes no predictions or guarantees regarding the results.

The livestock industry is affected by various factors, including but not limited to market price fluctuations, global supply and demand changes, weather conditions, policy adjustments, feed costs, logistics, and supply chain changes. These factors may lead to differences in investment performance, and users must assess these risks and make independent decisions.

ROI’s industry analysis, information sharing, or historical data are for general reference only and should not be considered as direct investment advice. Users should carefully assess their own capabilities, risk tolerance, and business conditions, and may seek independent professional advice when necessary.

Users agree that ROI is not liable for any losses incurred by users due to market changes, business strategies, third-party factors, or personal decisions. All investment results and risks are borne by the user, and ROI has no obligation to compensate for them.

Page 7 | Intellectual Property and Content Use

All content published, displayed, or provided by ROI, including but not limited to text, images, charts, reports, analytical models, data, training materials, design elements, and other related content, is protected by applicable intellectual property laws and regulations. Without ROI’s express authorization, users may not copy, reproduce, modify, distribute, publicly display, commercially use, or create derivative works based on the content in any form.

When submitting materials, data, images, or other content to ROI, users must ensure that their sources are legal and do not infringe upon any third party’s copyright, trademark rights, privacy rights, or other legitimate rights. By submitting content, users grant ROI the right to use, display, summarize, or reference that content within the reasonable scope of its services (e.g., industry data statistics or member trend analysis), but this does not include resale or use beyond the scope of the authorization.

Any infringement, misappropriation, forgery, alteration, or unauthorized processing of content constitutes a serious violation. ROI has the right to take necessary measures against such violations, including restricting access, suspending services, or removing the relevant content, to protect intellectual property rights and industry standards.

Page 8 | Data Protection and Privacy Commitment

ROI is committed to complying with applicable data protection principles and assumes a strict obligation to protect the personal and business data provided or generated by users during their use of the services. All user data will only be used within the legal and necessary scope of the service, including reasonable purposes such as providing support services, improving internal processes, conducting statistical analysis, or maintaining system security.

ROI will impose strict restrictions on access to, storage of, and processing of user data, authorizing only personnel with the necessary permissions and who fulfill confidentiality obligations to perform operations. Without user permission or legal requirements, ROI will not disclose, sell, or share user information with unrelated third parties in any form.

Users have the right to request to view, correct, or delete their data, subject to legal and business requirements; ROI will also retain necessary business records for an appropriate period and securely delete or anonymize them when no longer needed.

To protect the integrity and security of user information, ROI will adopt reasonable technical and management measures, including encryption, access control, and risk monitoring, to prevent unauthorized access, disclosure, or misuse of data. Users understand that despite these protective measures, any network system may still face risks, and both parties should jointly maintain data security.

Page 9 | Limitation of Liability and Disclaimer

ROI, to the extent permitted by law, limits the risks and liabilities that may arise from the use of the service as follows: Users understand and agree that they shall bear all losses arising from their own judgment, business actions, or investment decisions, and ROI shall not be liable for such losses. ROI shall not be liable for problems arising from third-party systems, partner services, external platforms, or any resources beyond ROI’s control.

ROI shall not be liable for compensation in the event of service delays, interruptions, or content discrepancies caused by force majeure, natural disasters, policy changes, market anomalies, communication failures, or other unforeseen events. Users shall also bear all liability for any losses or impacts caused by their violation of these terms, illegal activities, or submission of false information.

In any case, ROI’s liability to users shall be capped at the service fees actually paid by the user during the disputed period. ROI shall not be liable for any indirect losses, incidental damages, loss of anticipated revenue, or other indirect consequences.

Page 10 | Termination, Applicable Law, and Other Terms

ROI reserves the right to suspend, restrict, or terminate services to users based on service operations, compliance requirements, or user behavior. ROI may immediately suspend services without prior notice in cases of user misconduct, submission of false information, endangering platform security, or disrupting industry order.

Users may apply to terminate their service use according to their own needs. Upon completion of the exit procedure, relevant permissions will be revoked, but obligations incurred before termination will still be fulfilled. ROI reserves the right to adjust service content, usage rules, or terms structure according to business changes; any updates will take effect immediately upon publication. Continued use of the service constitutes acceptance of the latest version.

These Terms constitute the entire agreement between the user and ROI regarding the use of the service, superseding any prior oral or written communication regarding the same matter. If any provision of these Terms is deemed invalid or unenforceable, it shall not affect the validity of the remaining provisions.

The interpretation and enforcement of these Terms shall comply with applicable laws and regulations. Any issues arising from the understanding or performance of these Terms shall be resolved through negotiation between the parties in good faith.
